Communication Facility Policy

The purpose of the communication facility (‘Forum’) is to enable transparent and effective communication between potential investors, the company making the crowd-sourced funding (‘CSF’) offer, and FB Ventures Pty Limited (ABN 63 670 888 758) (AFSL 553008) as the CSF intermediary (‘FB Ventures’, ‘our’, ‘we’ or ‘us’). The Forum allows all parties to share information, ask questions, and discuss the offer in an open and regulated environment.
Access and usage
1. Posting and viewing posts
• The Forum is accessible to registered users who have access to the CSF offer document. Registered users who can access the CSF offer document can make posts, see posts, and ask questions about the offer.
• Registration requires users to identify themselves and not use pseudonyms.
2. Interaction guidelines
• Registered users, the company making the CSF offer, and the CSF intermediary can respond to questions and posts.
• Officers, employees, or agents of the CSF offering company or the CSF intermediary must clearly disclose their affiliation when posting.
• Questions and responses must remain on topic and be respectful to all participants.
Monitoring and moderation
1. Pre-vetting and review
• Questions posted to the Forum will be subject to a pre-vetting process to ensure they comply with our guidelines.
• We may edit questions for clarity, but we will not amend the context or meaning of the question.
2. Content management
• We reserve the right to refuse to post or remove communications that are misleading, deceptive, unlawful, abusive, irrelevant, profane, harassing, threatening, trolling, defamatory, libellous, intimidating, disrespectful, inappropriate, repetitive, spam, or made in bad faith or which may discourage or derail a good faith discussion about the CSF offer.
• We will not remove posts solely because they are negative or critical of the offer, the CSF intermediary, or the offering company.
Misleading information
1. Action on misleading conduct
• If we believe that the company making the offer or its officers have knowingly engaged in misleading or deceptive conduct through the CSF offer document or Forum, we will take action.
• This includes removing misleading posts and potentially removing the CSF offer document from the platform and closing the offer.
• This obligation arises where we have reason to believe the offering company or relevant person knowingly engaged in misleading or deceptive conduct. We do not require proof beyond reasonable doubt.
2. Unintentional misleading information
• If misleading information is unintentional, and we are not required to take action, we expect the company to make further disclosures to correct the misinformation.
• Failure to correct misleading information may result in the removal of the CSF offer document and closure of the offer.
Resources and adaptability
We will allocate sufficient resources and implement procedures to adapt our monitoring approach as necessary for each CSF offer. Our goal is to maintain an environment that supports informed investment decisions through honest and good faith discussions.
The Forum is designed to foster transparency and trust in the CSF offering process. By adhering to these guidelines, we aim to create a safe and informative space for all parties involved.
